Description of Services Offered

DirWell provides users with access to the following rich collection of resources but not limited to: paid listings; content in the form of articles, guides and news items; promotional links; sponsored links; links to external information, and advertisements. The Services can include administrative messages, announcements, and other communication through the DirWell Official Blog, and all this is considered part of DirWell free registration and paid submissions. Unless explicitly stated otherwise, all new features that enhance the current Services shall be subject to this Agreement.

Electronic Agreement

This Agreement is a contract in electronic form that sets out the legally binding terms of your use of our web directory. This agreement may be modified by DirWell from time to time, and all such changes are effective immediately upon being posted on the Website by DirWell. This Agreement includes DirWell's Privacy Policy. By accessing our Web directory, by registering as a free member or by submitting your site, you accept this Agreement and agree to the terms and conditions contained herein.

Offensive, Defamatory, and Provocative Content

DirWell prohibits all illegal activity, such as spam, defamation, personal attacks, harassment, offensive content and other illegal activities. Submitted websites are carefully scrutinized before being listed in the directory. Websites listed in Directory Well, even after approval, can be unlisted at the discretion of DirWell Editors, if found to be breaking the submission guidelines.

Proprietary Rights

DirWell owns for an unlimited period of time, all proprietary rights in the Website and their Services. All material on the website, including but not limited to, website graphics, articles, content, logos, layouts, and trademarks are copyrighted and you may not copy, modify, publish, distribute, display, transmit or sell any such proprietary information and trademarks.

Privacy

Please go through out complete Privacy Policy, which is part of this Agreement. Further, you acknowledge and agree that DirWell may access, store and disclose your personal information if required to do so by law; or when necessary to enforce this Agreement, comply with legalities, respond to your requests for customer service, or protect the rights, security and safety of DirWell, its users and the public.

Free Registration Process

Registering at DirWell for the e-Newsletter and all other notifications free includes providing your real full name, a valid email address, and any other information needed at the time of signing up.

Unauthorized Access

This is a no entry for bots. You have to be a human to register and no automated methods are allowed.

Submitting Website

You may submit your website by paying to the service and getting listed with DirWell. Please check out the different listing types and their prices under the "Submit" section of our website.

Depending on the listing type you choose, you will be entitled to a listing of your website in our web directory. DirWell may change the listing features and pricing from time to time.

Charges on your Payment Method

• You agree that by submitting payment for your site, you are only requesting a review, and this does not guarantee listing. All payments of sites not listed will be refunded accordingly.
• You will need a valid Payment Method in order to pay for the listings in our directory.
• There is an SSL Certificate that keeps your sensitive payment information safe from being intercepted.
• DirWell does not store your complete billing information on its servers.
• You authorize DirWell to charge your payment method for the Service, when it is time for payment.
• If DirWell does not receive payment on time using your Payment Method, you agree to pay all amounts due on demand.
• You will be entitled to receive our web directory service only during the listing period specified. Listings will be renewed automatically at the end of the period until you cancel them. You will not receive notices of auto-renewal.
• It is your responsibility to keep your payment method and other details up-to-date and notify DirWell immediately if the payment method has been canceled.
• Listings are not eligible for a refund once listed.
• In case you want to cancel your listing with our directory, you are responsible for ensuring you have canceled it properly, and remain responsible for all charges incurred prior to terminating your listing.

Changes to Services Offered

DirWell reserves the right to discontinue or modify, permanently or temporarily, the listing service with or without notice. You agree that DirWell shall not be liable to you or any third party for any such happening.

Reliability of Content

All content posted on DirWell web directory is for informational purposes only and is not created with an intention to substitute or replace any legal, professional, medical, financial or other advice. The directory does not accept any form of responsibility for the accuracy or reliability of any opinion by third parties on the website.

Disclaimers of Warranties

DirWell cannot guarantee or make promises of any specific results from the use of the directory or services within the directory. You agree to make your own evaluation and bear all associated risks, with the use of the content and the services, including any reliance on the usefulness of such content.

Third-Party Content

DirWell contains content from third parties, in the form of advertisements, links and comments. You acknowledge and agree that DirWell is not responsible for examining the accuracy of such material or websites. Links to other third-party websites are only provided for informational purposes and convenience. DirWell does not have any control whatsoever on such sites and resources. You agree you will use those sites at your own discretion.

This agreement will remain in effect while you use the website or have a listing with our directory. DirWell reserves the right of removing your listing at any point of time, and it usually happens due to fraud or breach of this Agreement. DirWell is not required to disclose the reason for removal of your listing. Our web directory also reserves the right to refuse service to anyone at any time without giving a reason.
